Chuanshanjia User Service Agreement

Thank you for using the Chuanshanjia platform.



To provide you with better services, please carefully read this Agreement (hereinafter referred to as "this Agreement"), and register only after you understand and accept this Agreement. This Agreement specifies your rights and obligations in respect to registration, login, and use of the Chuanshanjia platform and all other behaviors involved. By clicking the "Agree" button during registration, and when you log in to the platform and use it once registered, this represents that you have fully understood, agreed to, and accepted this Agreement, and you are willing to abide by this Agreement and all rules and regulations published on the Chuanshanjia Platform. You must not register on, login to, or use the Chuanshanjia platform if you disagree with this Agreement.

Please be sure to carefully read and fully understand the content of each term, especially those which may restrict or exempt liability, as well as separate agreements and rules for enabling or using a certain service. Terms that restrict or exempt liability may be in bold or underlined for your attention.

If you agree to be bound by this Agreement on behalf of your company or any other entity, you represent and warrant that you have been fully and legally authorized to bind your company or such entity to this Agreement. You may accept this Agreement or use the Chuanshanjia platform on behalf of your company or any other entity after and only after you have already obtained the required authorization.


I. Definition

1.1 Chuanshanjia Platform/Chuanshanjia: a platform for global developer growth that provides advertisers and traffic owners with intelligent, precise, and efficient mobile traffic solutions.

1.2 You/Media/Developer: a legal person or any other organization owning and/or operating mobile apps, websites and other products, who/which has already successfully registered an account on the Chuanshanjia Platform and has corresponding qualifications and capabilities required for the use of services provided by the Chuanshanjia Platform.

1.3 Developer Products/Media Products: mobile apps and websites that you legally own and/or manage and/or operate.

1.4 End Users: users who use developer products for their own purposes but not for the purpose of re-distribution or resale.

1.5 Chuanshanjia Platform Services/Chuanshanjia Services/These Services: products and services provided to you by Chuanshanjia through this website and the Chuanshanjia platform in accordance with this Agreement, or agreements, or supplementary terms related to specific Chuanshanjia services, including but not limited to advertising and enabling cooperation.

1.6 Chuanshanjia Agreements: this agreement as well as other agreements and platform rules established between you and Chuanshanjia when you use Chuanshanjia services.

1.7 Platform Rules: platform rules that you should follow when you use Chuanshanjia services, including but not limited to business specifications for advertising on the Chuanshanjia platform, compliance specifications for the use of the Chuanshanjia SDK by developers, and the platform's future policies, rules, specifications, and notifications related to these services.

1.8 Advertising Revenue Sharing: settlement of advertising revenue in accordance with Chuanshanjia agreements signed by and between you and Chuanshanjia and the proportions confirmed by you.

1.9 Chuanshanjia Platform Data: related data arising from your use of Chuanshanjia services, including but not limited to the data generated from the operation behaviors and various ad-related data.

II. Registration Rules

2.1 You guarantee that you are an entity legally established and operated in accordance with laws and regulations, you have obtained the necessary business qualifications, you have the right and ability to sign and perform the requirements of this Agreement and that all materials you provide in connection with the registration, use, and management of your account on the Chuanshanjia platform (including but not limited to registration information, identity certificates, business qualifications, and authorization documents) are true, legal, and valid. When the materials you provide change in regards to the authorization period or validity period, you should notify the Chuanshanjia platform in a timely manner and update them on the Chuanshanjia platform. You agree to communicate with the Chuanshanjia Platform for matters related to Chuanshanjia services by phone, email, etc. To improve your experience when using Chuanshanjia services on the Chuanshanjia platform, please complete real name authentication in accordance with the relevant laws, regulations and requirements of the Chuanshanjia platform. You shall be independently responsible for the authenticity, legality, accuracy and validity of all materials you provide. In case of any loss to the Chuanshanjia platform or its affiliates, you shall indemnify the Chuanshanjia platform or its affiliates for all losses.

2.2 In case of any change to your data and information, including your name, email, contact number, and the information about the authorized person, you shall immediately update the relevant information on the Chuanshanjia platform. If the information you provide is incorrect, thus causing any delay in Chuanshanjia's communication with you, you shall be liable for the loss incurred thereby.

2.3 To protect the legitimate interests of you and Chuanshanjia, Chuanshanjia has the right to verify or designate a third-party professional organization to verify the materials you submit (such as a copy of the ID card of a natural person, a copy of the business license of a corporate legal person, a copy of the legal person certificate of a business unit, official statements issued by your company, and financial information) and then decide whether or not to approve your registration application. If any material you have submitted or any information you have filled in is incomplete or inaccurate, you may be unable to use Chuanshanjia services or be subject to use restrictions.

2.4 Upon review and approval, you will become a partner of Chuanshanjia. You shall use your username and password to log in to the Chuanshanjia platform, and use functions such as creating apps, creating ad slots, and viewing data.

2.5 You shall keep your account information safe, correctly and appropriately use, operate and manage your Chuanshanjia platform account, and assume full legal responsibility for all activities arising in connection with such account. Please ensure that you do not disclose your account or password to any third party. If you discover or suspect that your account and password have been used by others, you should notify Chuanshanjia as soon as possible to prevent any losses. If you fail to notify Chuanshanjia in a timely manner, you shall be solely liable; and if any loss is incurred to Chuanshanjia and its affiliates, you shall compensate Chuanshanjia and its affiliates.

2.6 You shall enter information on the Chuanshanjia platform about the products owned by the developers which are used on the Chuanshanjia platform based on the actual situation. You warrant that you own or have the legal right to operate these products. You shall strictly abide by relevant laws and regulations during the operation of your products, and you shall warrant that the marketing, promotion, and related business activities conducted in connection with your products are legal.

2.7 When registering on and using the Chuanshanjia platform and using Chuanshanjia services, you should use the Chuanshanjia platform and Chuanshanjia services correctly and appropriately, conform and comply with relevant laws and regulations, Chuanshanjia agreements and platform rules, and confirm that you allow for the Chuanshanjia platform to review and approve all materials used on the Chuanshanjia platform and services. If you violate relevant laws and regulations, Chuanshanjia agreements and platform rules, the Chuanshanjia platform has the right to, at its sole discretion, suspend and/or terminate the provision of services, not pay and/or deduct costs from the settlement payment of advertising revenue and rescind Chuanshanjia agreements, and require you to assume full liabilities and compensate any and all of the losses incurred thereby to Chuanshanjia and its affiliates.

III. Your Rights and Obligations

3.1 Without the written consent of Chuanshanjia, you may not solicit foreign investment or customers in the name of Chuanshanjia or its agents; and if discovered, Chuanshanjia has the right to terminate any cooperation with you and hold you liable. You can cooperate with Chuanshanjia only through the media you operate without requiring written permission from Chuanshanjia.

3.2 When using Chuanshanjia services, you understand and acknowledge your compliance with the following requirements:

You shall abide by the platform rules. You are responsible for your use of the Chuanshanjia platform and related services. Unless permitted by law or with the prior written permission of Chuanshanjia, you must not engage in the following behaviors while using the Chuanshanjia platform and related services:

3.2.1 You should guide end users to tap on Chuanshanjia services through honest means, without deception. If, due to any of your inappropriate behaviors, Chuanshanjia and/or its affiliates and customers suffer reputation damage or economic losses, Chuanshanjia shall hold you liable.

3.2.2 You undertake and warrant that you shall not sub-license, license, sell or use your access to the Chuanshanjia platform and Chuanshanjia platform services for any other commercial or non-commercial purpose without the written consent of the Chuanshanjia platform.

3.2.3 You shall not, in any form and by any means, conduct cheating behaviors (including but not limited to creating false data, false retention rates, and false conversion rates) while using these services. Once discovered, Chuanshanjia has the right to impose a penalty on you under this Agreement, Chuanshanjia agreements and platform rules about Chuanshanjia services, and you shall bear the corresponding liabilities for your breach of contract.

3.2.4 You may not use any plug-ins, cheating programs, systems, or third-party tools that are not authorized or licensed by Chuanshanjia to interfere with, disrupt, modify, or otherwise affect the normal operation of the Chuanshanjia platform and its related services.

3.2.5 The app that accesses the Chuanshanjia platform to request ads must be the app that actually displays Chuanshanjia ads.

3.2.6 You shall not conduct any behavior that endangers the security of the computer network through or towards the Chuanshanjia platform and related services, including but not limited to:

(1) Illegally intruding into other networks, interfering with the normal functioning of other networks, stealing network data and other activities that endanger network security;

(2) Provisioning programs and tools specifically designed to engage in network intrusion, interfering with normal network functions and protective measures, stealing network data, and other activities that endanger network security;

(3) Provisioning technical support, ad campaign support, payment settlement support and other assistance to others when knowing that those parties are engaged in activities endangering network security;

(4) Using data or accessing servers/accounts that have not been authorized to you;

(5) Accessing the public computer network or others' computer systems without permission to delete, modify or add information;

(6) Attempting to probe, scan or test the weaknesses of the Chuanshanjia platform system or network without permission, or engaging in other behaviors that endanger network security;

(7) Attempting to interfere with or disrupt the normal operation of the Chuanshanjia platform system or website, intentionally spreading malicious programs or viruses, or other behaviors that disrupt and interfere with normal network information services;

(8) Forging the name of the TCP/IP data packet or part thereof;

(9) Reverse engineering, reverse compiling, compiling the Chuanshanjia platform and its related services; or otherwise attempting to discover the source code of such software;

(10) Maliciously registering accounts on the Chuanshanjia platform and its related services, including but not limited to frequent and bulk registration of accounts;

(11) Violating laws and regulations, this Agreement and the rules of the Chuanshanjia platform, and infringing the legitimate rights and interests of others.

3.2.7 In any case, if the Chuanshanjia platform has reason to believe that any of your behaviors violates or may violate the above agreements, the Chuanshanjia platform may independently judge and implement disciplinary measures, and Chuanshanjia has the right to terminate the services provided to you without any prior notice, as well as hold you legally liable.

3.3 You should reserve a valid app download link on the Chuanshanjia platform and ensure that the installation package connected to the link is available and can obtain and display ads normally. If the download link becomes invalid or unavailable to display advertising, you should update the download link on the Chuanshanjia platform in a timely manner.

3.4 You shall ensure that the tax receipts such as invoices provided to the Chuanshanjia platform are true and valid and that they comply with the provisions of national tax laws and other relevant policies. The Chuanshanjia platform has the right to revise the platform requirements and rules according to the national policies or actual business scenarios.

3.5 If you are required to disclose to a third party any content related to Chuanshanjia (including but not limited to the company name, brand name, Chuanshanjia trademarks, and the formation, performance and content of agreements signed by and between you and Chuanshanjia), you shall obtain prior written permission from Chuanshanjia. The aforementioned "disclosure to third parties" includes but is not limited to announcing transactions, press releases, social media communications, media interviews, press conferences and advertising. If you breach this term, thus resulting in any third-party claims against Chuanshanjia or adverse impacts on Chuanshanjia, you shall be responsible for resolving the relevant disputes, eliminating the adverse impacts on Chuanshanjia, and indemnifying Chuanshanjia for all losses.

IV. Rights and Obligations of Chuanshanjia

4.1 Chuanshanjia reserves the right to, if and when necessary, amend this Agreement, including but not limited to adjusting the content of the Chuanshanjia services and advertising revenue sharing.

4.2 You confirm that you accept and will comply with this Agreement and that you voluntarily apply for the use of the Chuanshanjia platform. Chuanshanjia does not make any guarantees regarding advertising revenue sharing arising from your use of the Chuanshanjia platform.

4.3 Chuanshanjia will, from time to time, request you to provide the information related to Chuanshanjia ads (screenshots of ad positions and download addresses from mainstream app stores that have access to Chuanshanjia ads). When you receive such requests from the Chuanshanjia platform, please be sure to follow the requirements and provide the requested information within the timeframe specified by the Chuanshanjia platform. If you do not provide feedback within the specified time, Chuanshanjia has the right to hold you liable for breach of contract.

4.4 The Chuanshanjia platform has the right to transfer part or all of its rights and obligations under this Agreement to its affiliates upon notice. You should not continue to use these services or should cancel the services you have received if you disagree to such transfer by the Chuanshanjia platform. Your continuous use of these services is considered as your acceptance of such transfer.

4.5 To recommend commercial information such as services, features, or activities that may be of interest to you, help you learn about and obtain more options for quality services, facilitate your monetization, and the promotion of your products, the Chuanshanjia platform or its affiliates which provide services may contact you through SMS messages, phone calls, or emails. You hereby authorize the Chuanshanjia platform to share your basic information (such as your company name, company email address, app name, and contact information) on the Chuanshanjia platform with Chuanshanjia's affiliates providing you with the above services for the aforementioned contact purposes.


V. Personal Information Protection

5.1 You may be required to fill in some necessary personal information when registering an account or using the Chuanshanjia platform. You should provide your authentic ID information, if specially required by national laws and regulations. If the information you fill in is incomplete or untrue, you will be unable to use the related software or services or be subject to restrictions on your use.

5.2 Chuanshanjia will establish a sound management system by using a variety of security technologies and procedures that are aligned with the services provided by the Chuanshanjia platform to protect your personal information from any unauthorized access, use or disclosure. However, you also understand and agree that owing to the openness of the Internet and the rapid pace of technological updates, in situations where your information is divulged due to factors beyond the control of Chuanshanjia, Chuanshanjia is not liable.

5.3 The Chuanshanjia platform shall not disclose or make available to any third party your registration information and non-public content you have stored on our website when you are using the network services, except in the following circumstances:

(1) with your prior express authorization;

(2) when required by relevant laws and regulations;

(3) as ordered by the competent government department with jurisdiction;

(4) such third party agrees to assume the same liability for privacy protection as this platform.

5.3 Under the prerequisite of not disclosing the user's private information, the Chuanshanjia platform has the right to analyze and commercially exploit the entire user database.

5.4 Chuanshanjia may, at its own discretion, collect, use or provide to third parties your non-personal information in order to operate and improve the technologies and services of the Chuanshanjia platform, as well as to provide you and end users with a better experience and higher service quality.

5.5 Personal information protection for end users

5.5.1 You understand and agree to abide by the Compliance Specifications for the Use of the Chuanshanjia SDK by Developers. You shall make clear explanations to the end user, specifying the collection or use of the personal information about the end user related to these services, including but not limited to the purpose, mode and scope of the user's personal information, and obtain the prior consent from the end user.

5.5.2 You undertake that during the advertising in cooperation with Chuanshanjia, you will not collect or use any personal information in violation of laws and regulations, and comply with laws and regulations regarding the protection of minors and their personal information. Furthermore, you will disclose the purpose, type, scenarios of use and sharing of the personal information you collect and access through the SDK in your product's privacy policy which is in accordance with laws and regulations, and obtain the authorized consent of the relevant personal information owners.

VI. Intellectual Property Rights

6.1 Any text, images, graphics, audio, and video materials contained in the services provided by Chuanshanjia to end users under Chuanshanjia agreements are protected by the copyright laws, trademark laws, and other property ownership laws. Without the consent of Chuanshanjia or the relevant right holders, you are prohibited to, independently or through any third parties, directly or indirectly, publish, broadcast, re-write or re-distribute for the purpose of broadcasts or distribution or use the aforesaid information and any Chuanshanjia products for any other commercial purposes.

6.2 Without permission, you are not allowed to modify the source code of the Chuanshanjia platform and/or any third-party website or company website providing services through the Chuanshanjia platform or any third party which has a cooperative relationship with Chuanshanjia; and without the consent of Chuanshanjia, you are also not allowed to transmit such source code to any other third parties for use and reference. Otherwise, if any third party makes a claim against Chuanshanjia, Chuanshanjia has the right to recover any losses caused by this claim from you. Chuanshanjia has the right to at its sole discretion make adjustments to the code and form of presentation thereof, without requiring to provide you with any notice;

6.3 You are not allowed to reverse engineer, reverse compile or compile the Chuanshanjia SDK and its related services or otherwise attempt to discover the source code thereof, or use the SDK, SDK interfaces, and related services for any purpose other than accessing or using these services.


VII. Confidentiality

7.1 Regardless of during or after the cooperation with Chuanshanjia, you shall strictly keep confidential any non-public information or data (including but not limited to technical information, trade secrets, agreements content, data, SDKs, SDK interfaces, and its related services, collectively referred to as "Confidential Information") you obtained from Chuanshanjia. Without the prior written consent of Chuanshanjia, you are not allowed to disclose, provide or divulge it to any third parties. You agree to use the Confidential Information only for the purposes of this Agreement and to take necessary and reasonable measures that are no less effective than those Chuanshanjia uses to protect its own Confidential Information, to protect the Confidential Information of Chuanshanjia from distribution, dissemination, disclosure, reproduction, misuse and access by any third party, so as to prevent any uses outside the cooperation purposes of the parties. You warrant that employees (including but not limited to employees, managers, directors, representatives or consultants thereof) who need to access Confidential Information to perform Chuanshanjia's obligations under this Agreement will strictly keep confidential such confidential information, and that such employees are bound by confidentiality terms or agreements that are not less strict than those herein and shall not disclose the aforementioned Confidential Information.

7.2 After termination of this Agreement, or upon the request of the Chuanshanjia platform, you shall immediately delete all Confidential Information obtained from Chuanshanjia (including but not limited to any backups) and you shall not use it in any way. Unless you retain the Confidential Information and copies thereof to perform your obligations under this Agreement, based on mandatory legal requirements, for the purpose of responding to lawsuits, or to protect the legal rights of Chuanshanjia and third parties, in which case, you shall inform Chuanshanjia of the reasons for retention and the Confidential Information retained.


VIII. Force Majeure and Services

8.1 The failure or delay by any party to perform this Agreement due to force majeure events is not considered as a breach of contract. However, the affected party shall promptly notify the other party and make its greatest effort to the extent which is commercially reasonable to mitigate or reduce the adverse impacts on the performance of this Agreement caused by such force majeure events. Under this Agreement, "force majeure events" refer to: (1) natural force majeure, lightning strikes, earthquakes, floods, droughts, windstorms, rainstorms and blizzards, mudslides, erosion, explosions and fires, epidemics, and other natural disasters; (2) acts of government, acts of war, acts by public enemies, terrorist activities, riots, and insurrections and strikes, excluding labor disputes.

8.2 Based on the overall interests of the market, business needs, legal requirements or for the purpose of providing better Chuanshanjia services, when Chuanshanjia platform service content, service models, layout plans, web page designs etc. are adjusted, restricted, changed or are taken offline, if Chuanshanjia services are not provided as agreed or in a continuous manner, Chuanshanjia shall not be liable for breach of contract.

8.3 You understand and agree that to provide you with better services, Chuanshanjia and its affiliates have the right to inspect, maintain and upgrade the Chuanshanjia platform and related equipment on a regular or irregular basis. In such case, services may be discontinued or suspended for a reasonable period of time. You agree to waive the right to hold Chuanshanjia and its affiliates liable for any losses incurred to you thereby.

8.4 In the event of circumstances including but not limited to orders by competent authorities, social and public events, media reports or significant events, Chuanshanjia has the right to adjust, suspend or terminate the services under this Agreement at the corresponding time points without bearing any liability.

8.5 You understand and agree that Chuanshanjia services are provided "as is" based on current technologies and conditions. Chuanshanjia will do its best to provide you with services that are as consistent and secure as possible. However, Chuanshanjia does not warrant that the services will be free of defects and cannot always anticipate and prevent legal, technical, and other risks, including but not limited to service interruptions, data losses, and other losses and risks that may be caused by force majeure, viruses, Trojan horses, hacker attacks, system instability, system vulnerabilities, system failures, third-party service defects, and government actions. You also agree that if the services provided by Chuanshanjia have defects that are unavoidable or unforeseeable by Chuanshanjia due to industrial technology restrictions at that time, it will not be considered as a breach of contract by Chuanshanjia, and you agree to waive your right to hold Chuanshanjia liable in case of any loss to your property, data or information.

IX. Liability for Breaches

If you make any breach of contract as follows, Chuanshanjia has the right to suspend or terminate the cooperation, not pay and/or deduct costs from the settlement payment of all ad revenue (including outstanding advertising revenue), unilaterally dissolve Chuanshanjia agreements and close your account, and hold you responsible for all losses and liabilities:

9.1 You have not correctly registered for the Chuanshanjia platform, submitted a legal and valid business license or updated an expired license, obtained required business permits in accordance with laws and regulations, or the registration information and/or materials you submit are untrue, incomplete, illegal, or invalid;

9.2 Your product or your use of Chuanshanjia services violates laws and regulations, policies, industry norms, this Agreement and/or platform rules about Chuanshanjia services;

9.3 Chuanshanjia is implicated in third-party complaints, reports or litigation (including but not limited to third-party legal action against Chuanshanjia or reports made to the competent authorities by way of complaints, letters or media reports against Chuanshanjia) or Chuanshanjia is exposed to investigation or questioning by the relevant authorities arising from your products or when you use Chuanshanjia services, or Chuanshanjia has reason to believe that you or your products are or may be causing Chuanshanjia to be faced with risks arising from violation of laws and regulations, complaints, action and adverse impacts related to your use of the Chuanshanjia platform and its related services;

9.4 You conduct any cheating behavior in any form or by any means while using Chuanshanjia services (including but not limited to creating fake traffic, fake data, and fake end users);

9.5 The contents and/or materials of developer products are in any way illegal or contrary to public order and morals, such as content and materials that endanger national security, or contain obscenities, pornography, falsehoods, insults, defamation, gambling, intimidation or harassment, or infringe upon others' intellectual property or personal rights or other legitimate rights and interests;

9.6 Your product or your use of Chuanshanjia services has a negative impact on Chuanshanjia and its customers, violates or may violate the legitimate rights and interests of Chuanshanjia and its customers or impact the user experience of products operated by its affiliates, or Chuanshanjia has reason to believe that you are facing or may face serious public opinion risks.

9.7 Transfer, reproduce, disseminate, assign, license, or in any way disclose, allow, or provide for use by others, the trade secrets and software, data, and end users’ personal information, or engage in any commercial or business activities for purposes other than those under this Agreement, in violation of the confidentiality requirements and/or the requirements on personal information protection for end users hereunder;

9.8 Developers and their employees cause any actual or potential damage or conflict to the interests, goodwill, and brand image of Chuanshanjia and its affiliates;

9.9 You must not substantially delete or modify Chuanshanjia data without permission, thus resulting in a serious decline in the public opinion of the products or services that Chuanshanjia wishes to promote;

9.10 Developers act as an agent or undertake other activities in the name of Chuanshanjia or its affiliates beyond the scope authorized by or without the authorization of Chuanshanjia and its affiliates;

9.11 Your websites or apps are removed from the app store or mainstream platforms in the industry during the performance of this agreement;

9.12 Your company declares bankruptcy or encounters business interruptions such as starting liquidation procedures;

9.13 Other breaches of contract, thus causing it meaningless for Chuanshanjia to perform this Agreement.


X. Dispute Resolution and Governing Law

10.1 The establishment, effectiveness, performance, interpretation and dispute resolution of this Agreement are all construed by the laws of the mainland of the People's Republic of China. In the event that any term of this Agreement becomes partially invalid or unenforceable for whatever reason, the remaining terms remain valid and binding on both parties.

10.2 This Agreement is signed in Haidian District, Beijing. Any dispute arising from or in connection with this Agreement shall be resolved by and between the parties through friendly negotiation. In case no agreement is reached through negotiation, either party may bring a lawsuit to the people's court where this Agreement is signed.


XI. Notices and Updates

11.1 Chuanshanjia may send you various rules, notifications, and reminders regarding these services by one or more of the following means: web announcements, web reminders, emails, SMS messages, telephone calls, letters, and in-site messages sent from the management system where developers register accounts. Once such information is published or sent by any of the foregoing means, you are deemed to have accepted the notice/update, and you agree to be bound to the notice/update. If you do not accept, please stop using these services, as your use of the services is viewed as your acceptance and consent to the services.

11.2 Notices sent by Chuanshanjia in the aforesaid ways are considered as received by you on the following dates: on the date the web announcement is published, on the date when the email is sent to your email account, on the date the fax was sent to you, on the date you receive the telephone call, and on the 3rd working day after the letter was sent by courier. In any event, if you deliver a notice to Chuanshanjia, it shall be sent by email and/or by courier (such notice shall contain your official seal). Please refer to the aforesaid agreements for the dates on which notices are received by Chuanshanjia. If either party sends a notification to the other party by more than one means, the date on which the other party is notified shall be subject to the earliest date of notification.

11.3 If the mail, mobile phone number or correspondence address you provide is incorrect or not updated, and as a result, you have not received the rules, notices and reminders, you agree to be considered as that you have already received and been bound by the related information and that you shall fully undertake all the consequences and liabilities.

11.4 This Agreement includes other relevant agreements and platform rules that may be issued by Chuanshanjia from time to time in connection with this Agreement and Chuanshanjia services. Chuanshanjia shall update the content above from time to time. Once related content is changed, Chuanshanjia shall issue notices and make announcements in the manner specified in Article 12 Notices and Updates hereunder. Once published, the modified content shall supersede the original content and become a valid part of this Agreement. If, after the aforesaid content is updated, you disagree to the modification of such content by Chuanshanjia, you should not use or cancel the services you have already received. If you still continue to use the Chuanshanjia platform, it is deemed that you accept and agree to abide by the aforesaid updated content.

XII. Miscellaneous

12.1 This Agreement becomes effective after you click "Agree" online, and by using these services, it's considered that you have already read and agreed to be bound by this Agreement. This Agreement shall remain in effect for a long period of time, except upon the occurrence of circumstances for rescission or termination, or causes for legal rescission or termination as specified herein. During the performance of this Agreement, Chuanshanjia has the right to unilaterally terminate this Agreement based on changes in the operation of the platform at any time without bearing any liability.

12.2 You and Chuanshanjia are independent entities, and in no event shall this Agreement constitute an agency representation, partnership, joint venture, or employment relationship between both parties.

12.3 These terms (subject to the version revised from time to time) constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior written or oral agreements between the parties with respect to such subject matter. No waiver of any breach or failure to comply with these terms by Chuanshanjia shall be deemed to be a waiver of any prior or subsequent breach or failure to comply with such terms. Term headings used herein are for convenience and reference only and do not have any legal meaning.

Specifications for the Implementation of Advertising Business on the Chuanshanjia Platform


General Rules for Restricted Behaviors

Media organizations shall conduct developer's business activities, publish the content created by their media organization or end users, and use the Chuanshanjia platform services according to national laws and regulations. The following illegal behaviors are not allowed:

(1) Violating the basic principles set out in the Constitution of China;

(2) Endangering national security, disclosing national secrets, subverting state power, and undermining national unity;

(3) Prejudicing national honor and interests, and public interests;

(4) Inciting ethnic hatred and discrimination, and undermining ethnic unity;

(5) Undermining national religious policies, and advocating heresy and feudalistic superstition;

(6) Spreading rumors, disturbing social order, and jeopardizing social stability;

(7) Spreading content that contains obscenity, pornography, gambling, violence, homicide, or terror, or abetting crimes;

(8) Content containing exaggeration, coercion, harassment, aggression, vilification, vulgarity, obscenity, or other morally objectionable content;

(9) Organizing end users through the development of multi-level personnel, with the number of its direct or indirect tiers or sales performance as the basis for calculating and paying compensation, or requiring personnel to pay a certain fee as a condition to obtain membership and other forms of pyramid schemes;

(10) Insulting or slandering others, and causing damage to the privacy and legitimate rights and interests of others;

(11) Collecting and using personal information of any end user not according to the regulations;

(12) Infringing the intellectual property rights of others, including but not limited to patent rights, trademark rights, and copyrights;

(13) Infringing upon the trade secrets of others, including but not limited to technical, financial, commercial, or any other information;

(14) Behaviors that endanger the security of computer information networks, including but not limited to:

a. Provisioning tools or illegal intrusions into the networks of others, interfering with the normal functioning of others' networks, stealing network data, and other activities that endanger network security;

b. Provisioning technical support, ad campaigns, payment settlement, and other assistance to others with the understanding that they are engaged in activities that endanger network security;

c. Using unauthorized data or accessing unauthorized servers/accounts;

d. Accessing the public computer network or others' computer systems without permission to delete, modify or add information;

e. Intentionally producing and disseminating computer Trojan horses, viruses, and other destructive and malicious programs, or stealing the passwords, accounts, and property of others;

f. Forging the name of TCP/IP data packet or part thereof;

(15) Other content prohibited by law and administrative regulations.

Developer Cooperation Specifications

During the cooperation with Chuanshanjia, developers should uphold the principle of integrity and may not, in any manner, interfere with or damage Chuanshanjia's normal operations or endanger its brand or platform. Including but not limited to:

(1) Developers are prohibited from publicly expressing or implying the existence of cooperative relationships between developers and the Chuanshanjia platform without official approval, including but not limited to mutual shareholding, agency representation, and other cooperative relationships;

(2) Developers are prohibited from using the brand assets of Chuanshanjia, including the brand name, brand logo, brand images, and videos, without official authorization;

(3) Developers are prohibited from maliciously registering accounts on the Chuanshanjia platform and its related services, including but not limited to frequent and batch account registration;

(4) Apps or accounts that have been banned are prohibited from re-registering on the Chuanshanjia platform;

(5) Developers are prohibited from probing, scanning, and testing the weaknesses of the system or network of the Chuanshanjia platform, or undertaking behaviors that undermine network security, or interfere with or disrupt the normal operation of the system or network of the Chuanshanjia platform;

(6) Developers are prohibited from reverse engineering, reverse compiling, and compiling, or otherwise attempting to discover the source code of the Chuanshanjia SDK and its related services in any way, or making any third-party calls in violation;

(7) Developers are prohibited from omitting fields that must be passed back as required by the Chuanshanjia interface documentation;

(8) Media organizations should update to the latest SDK provided by Chuanshanjia in a timely manner according to the Chuanshanjia development documentation;

(9) While using Chuanshanjia services, media organizations may not make material changes to the developer products so that content used at the time of initial registration on the Chuanshanjia platform is no longer consistent or correct;

(10) Media organizations should timely update the download links to the latest developer products.

App Specifications

Apps that access the Chuanshanjia platform are subject to the following specifications:

(1) Apps must not involve malicious behaviors, including but not limited to potential viruses and malicious codes;

(2) Apps must not be a package of simple webpages, or an app that simply redirects users to a third-party website after opening;

(3) An app needs to have native content or its own features. An app without native content or its own features means:

a. The app is still under construction;

b. After the app is opened, only ads are displayed, or the app exits upon an ad impression;

c. The app's native content is too simple, with no secondary page, and/or the content of modules such as app information and the news center have not been updated for more than three months;

(4) For the end-user-generated content of apps, developers shall effectively control such content, and apps shall not contain any content that violates laws, regulations, rules, and other provisions;

(5) The following app categories are not supported by the Chuanshanjia platform:

a. Apps involving blockchain or similar models, including but not limited to scenarios like mining, mining computers, hash rate, Bitcoin candy, and other content;

b. Apps involving virtual currency, fund projects, or similar models, including but not limited to scenarios like virtual currency cash-out, and virtual currency appreciation/trade/transfer (in-app or on third-party platforms);

c. Apps involving pyramid schemes or similar models, including but not limited scenarios like paying fees to become partners/agents, and tiered remuneration;

d. Apps involving illegal fund-raising or similar models, including but not limited to scenarios such as guaranteed investment returns;

e. Apps involving gambling or similar models, including but not limited to scenarios like Five Card Stud, card gambling, poker machines, baccarat, and Sic Bo;

f. Apps involving lottery sales, lottery information, recommendations, and purchase plans;

g. Sports (such as soccer, basketball, and tennis) information apps involving content related to predictions and purchase plans/schemes;

h. Apps that have other illegal and unlawful content or creatives;

i. Apps that are prohibited from advertising in accordance with laws and regulations or where advertising is not appropriate in some cases.

Invalid Traffic Specifications

It is required that the media organization be responsible for the authenticity of ad exposures/clicks and other conversions, that is, the media organization should ensure that the behavior subjects of ad impressions/clicks/consumption are real users of the apps cooperating with Chuanshanjia. Including but not limited to:

(1) Developers are prohibited from manually and repeatedly clicking ads, and performing downloads, installations, registrations, purchases, and other kinds of user data falsification by themselves or entrusting a third party to do so;

(2) Developers are prohibited from using technical means such as program access, automatic refreshes, and cheaters to create invalid ad impressions and clicks;

(3) Developers are prohibited from using programs or plug-ins that hijack third parties in any way, including other media traffic that has been registered with Chuanshanjia;

(4) App/Software downloads, installations, and activations are prohibited when users are not informed;

(5) Developers are prohibited from transmitting by mistake, tampering with, or forging field values, and forging invalid data during data transmission;

(6) Developers are prohibited from performing advertising on third-party media channels, that is, the media channel where advertising is actually performed is inconsistent with the media channel registered with Chuanshanjia;

(7) Developers are prohibited from publishing advertising tasks to any third parties, including end users, and promising rewards for such behaviors;

(8) Developers are prohibited from obtaining gains through other technical means in violation of regulations.

Ad Campaign Specifications

It is required that the media organization stays compliant in all ad campaigns and does not interfere with the decision-making processes of real users through illegal measures to seek improper interests. Including but not limited to:

(1) Developers are prohibited from conducting advertising testing in a non-test environment (please refer to "Automated Test Reporting");

(2) During ad requests and impressions:

a. Developers are prohibited from requesting ad pop-ups from Chuanshanjia when the screen is off or locked, or when an app is closed or in the background;

b. Any part, copy, or derivative of the requested advertising content is prohibited from being stored or cached for a long time in any manner;

c. Endless ad requests and pop-up ads are prohibited;

d. An ad should clearly demonstrate the ad title, description, creatives, Chuanshanjia platform logo, and ad logo;

i. Developers are prohibited from making changes to the attributes of the content of an ad without permission, such as editing, modifying, filtering, or intercepting the information contained in the ad, or changing the order of the ad elements;

ii. Developers are prohibited from blocking, distorting, or obscuring the ad images and content to stop the whole image being shown;

e. If the viewing duration of an ad video is too short, it will be recorded as an invalid impression;

f. Developers are prohibited from using and displaying Chuanshanjia brand assets such as the Chuanshanjia platform logo in non-Chuanshanjia ads;

g. Developers are prohibited from requesting and displaying ads through other illegal means;

(3) During ad click and direction:

a. Inducing or forcing users to click is prohibited, including but not limited to the following:

i. Rewarding users for clicking ads and for conversion behaviors after clicking. Rewards include but are not limited to cash, points, gifts, and virtual currency;

ii. Description such as "Must try!" and "click here" for ad content, or placing guiding graphics or animations next to ads to mislead users to click;

iii. Disguising ads as chats, system warnings, dialog boxes, red packets, or other forms of notifications to mislead users to click;

b. Developers are prohibited from making no or unclear distinctions between the ads and the app content leading to erroneous clicks;

i. Adequate distance should be maintained between an ad and other in-app clickable areas, and blank non-clickable areas should be left around the ad;

ii. The full-screen click model is prohibited for ads. Only the creative areas such as ad images, titles, and buttons can be clicked;

iii. Developers are prohibited from blocking, hiding, overlapping, or stacking any part of the ad impression area, which may lead to erroneous clicks;

c. Developers are prohibited from redirecting from a landing page clicked on by an end user to a different page instead of the one viewed by the end user when they access the ad landing page;

d. Users must unlock their device to trigger advertising interaction behaviors;

e. Developers are prohibited from blocking, hiding, or making ad close buttons too transparent, or creating false skip/close buttons to force or mislead users to click ads before they can use the app;

f. Developers are prohibited from falsifying clicks to obtain gains through other irregular means;

Format Specifications by Ad

Media organizations should follow cooperation specifications for different advertising product formats to ensure users' advertising experience.

1. Brand Takeover Ads

a. Brand Takeover ads can be used during app initialization. Once displayed, ads are automatically closed, and the main interface of the app shall be displayed;

b. Users are allowed to skip the ad within 3s or 5s. Developers should not change the time settings for when users can skip ads or add any other skipping features;

2. In-Feed Ads

a. In-Feed Ads are to be displayed within the content stream of an app;

b. Ad content shall be separated from the rest of the app to avoid erroneous clicks by users;

3. Interstitial Ads

a. Interstitial Ads are displayed when the natural experience of the app features are interrupted, such as when video playback is paused or between game levels;

b. Interstitial Ads shall not be displayed abruptly or interrupt the normal flow of an app, such as during app loading, app exiting, or gameplay;

4. Banner Ads

a. A banner ad is a rectangular ad displayed at the bottom or on the top of the app content, or between module content;

b. Banner ads shall not be placed in other clickable areas of the text, images, and apps to avoid erroneous clicks;

c. If there is a carousel scenario, please select carousel when creating ad slots;

5. Immersive Video In-Feed Ads

a. Immersive Video In-Feed Ads shall be displayed in video feeds of apps;

b. Immersive Video In-Feed Ads shall not have reward display rules such as "get coins or rewards for watching videos";

6. Interstitial Video Ads

a. Interstitial Video Ads are displayed when the natural experience of app features is interrupted, such as between game levels;

b. Interstitial Video Ads shall not be displayed abruptly or interrupt the normal flow of an app, such as during app loading, app exiting, or gameplay;

c. Users are allowed to skip them during ad impression. Developers should not change the time settings for when users can skip ads or add any other skipping features;

d. Interstitial Video Ads should not have reward display rules such as "get coins or rewards for watching videos";

7. Rewarded Video Ads

a. Rewarded Video Ads are displayed in scenarios where users choose to watch them when they need to use certain features of apps and receive corresponding rewards;

b. Before a rewarded video ad is displayed, the reward rules must be clearly explained to a user (for example, it must be made clear that the user will get rewards only after watching the ad to end, and the actual rewards must be specified). The user must be allowed to determine whether to play the rewarded video ad. The rewarded video ad must not be automatically played without the user's permission;

c. Rewarded video ads must not be placed in non-rewarded video ad placements, and non-rewarded video ads must not be placed in rewarded video ad placements.

d. Rewarded video ads must not offer real money, in-kind rewards, or other rewards that can be transferred to others to encourage users to click the ads (banners or end cards in such ads).

Automated Test Reporting

When you need to perform an automated test on traffic locations that access the Chuanshanjia platform, the violation penalty mechanism may be triggered if abnormal clicks are generated.

Before starting the test, please be sure to change the status of the tested ad slots from "running" to "testing". If you forget to change the ad slot status before the test, please immediately contact the Chuanshanjia platform and send an email containing information about involved ad slots, test schedules, and test device IMEIs/IDFAs to pangolin_union@bytedance.com. After the test is filed, the Chuanshanjia platform will filter all display clicks and original revenue generated during the test on the related ad slots.

If the violation penalty mechanism is triggered without any ad slot status change or without contacting us in a prompt manner, the Chuanshanjia platform will not accept any appeals that state that this was an automated test that wasn't confirmed with Chuanshanjia, and the penalty determination will be maintained.
